Please Read Our Terms (enlarge)EVGLOBAL.COM TERMS OF AGREEMENT FEES AND COMMISSIONS FEES: EVGlobal.com does not charge a fee for listing any item or equipment on EVGlobal.com. If the listed item or equipment does not sell, seller will incur no list fees nor commission fees. BUYER PREMIUM: When an EVGlobal.com Account User bids on an item or equipment, User becomes Bidder. When the sale of the item or equipment is agreed to, and Bidder has waived or exercised the Right to Inspect, Bidder becomes Buyer. Buyer agrees to pay seller full bid price of item or equipment upon purchase; Buyer agrees to pay EVGlobal.com an additional premium of 10% of the final bid price. MINUMUM COMMISSION: If the listed item or equipment price is less than $500 at sale, Seller agrees to pay EVGlobal.com a minimum Seller Commission of $50 at time of sale transaction. Likewise, Buyer agrees to pay EVGlobal.com a minimum Buyer Premium of $50 at sale transaction. BREACH OF CONTRACT PENALTIES: If Seller and Buyer come to an agreement outside the framework of this Terms of Agreement within twenty-four (24) months from the agreement to or the waiver of the Right to Inspect, Seller will award EVGlobal.com a specified penalty amount plus the full amount of the Seller Commission that would otherwise have been awarded to EVGlobal.com through the legal sale of an item or equipment as per the confines of this Terms of Agreement. Buyer will award EVGlobal.com a specified penalty amount plus the full amount of the Buyer Premium that would otherwise have been awarded to EVGlobal.com through the legal sale of an item or equipment as per the confines of this Terms of Agreement. A signed agreement of Breach of Contract must be signed by all parties before EVGlobal.com will return the refundable 20% Deposit placed at the time of Right to Inspect. BUYER TERMS OF SALE Buyer understands that all items and equipment listed for sale on EVGlobal.com are sold AS-IS, WITH ALL FAULTS, and with no guarantees. ACCURACY OF LISTINGS Representation and description of items or equipment listed on EVGlobal.com are strictly the opinion of the Seller and have not been verified or guaranteed by EVGlobal.com. It is the Buyer’s responsibility and Right to Inspect the accuracy of the condition of the equipment prior to purchase. EQUIPMENT AVAILABILITY EVGlobal.com does not guarantee the availability of any item or equipment listed as Seller is responsible for informing EVGlobal.com of the accurate availability of a listing. BIDDER’S RIGHT TO INSPECT Until a Buyer and Seller agree to a sale, Buyer shall be known as Bidder, due to the bidding nature of EVGlobal.com sales. Sales made through listings placed on EVGlobal.com are Subject to Inspection by the Bidder or a Bidder’s third party consultant prior to shipment. If a Bidder elects to exercise the Right to Inspect before agreeing to buy the item or equipment for the accepted bid price, a refundable Deposit of 20% of the accepted bid price will be charged to Bidder. Bidder will provide Deposit within five (5) working days of accepted bid and will waive any Right to Inspect upon expiration of five (5) day period. Seller’s location will be made known to Bidder after the deposit has been received in full by EVGlobal.com. Bidder will be given a reasonable amount of time, five (5) working days after 20% Deposit has been received, to inspect item or equipment personally or through a third party consult. Should Bidder request to use an unbiased, third party consult, EVGlobal.com Equipment Consultants are available for on-site, un-biased inspection of items or equipment in question for a standard fee. If, upon inspection, Bidder rejects equipment, Deposit will be returned in full to Bidder. If Bidder approves the item or equipment, Bidder will become Buyer, and Deposit will be applied to the final sale invoice. If Bidder elects to have the item or equipment shipped without prior inspection, Bidder automatically becomes Buyer and waives the Right to Inspect immediately. Purchased items or equipment cannot be returned. PAYMENT No item or equipment shall be shipped to Buyer until Payment has been received in full. All Payment will be made to EVGlobal.com. EVGlobal.com is an intermediary between Bidder/Buyer and Seller. For Sales within the United States EVGlobal.com accepts the following methods of payment: wire transfer, certified check, bank check, or company check with a bank letter of guarantee. For International Sales, EVGlobal.com will only accept a wire transfer. LOADING AND SHIPPING All sales are done at Seller’s location. Seller will not load, ship, or transport item or equipment until Buyer’s payment has been received from EVGlobal.com and transferred to Seller. Unless otherwise noted in the item description, Seller is responsible for loading the purchased item or equipment onto the Buyer’s initial mode of transport after purchase. Buyer is responsible for arranging the shipping of purchased item or equipment and for paying for all required transport of item or equipment, including, but not limited to, crating. EVGloabl.com is in no way responsible for any shipping or transport charges or any damage to purchased item or equipment incurred during shipping or transport. Buyer agrees to indemnify and hold EVGlobal.com harmless should a shipping or transport company seek payment for an invoice or charges. This indemnification includes all attorney’s fees, court costs, expenses, losses, and any monies paid in result of the defense of shipping or transport charges, and any efforts or costs incurred while enforcing this Terms of Agreement. LIABILITY Any disputes arising from transaction, sale, or failure to complete a transaction or sale shall remain exclusively between the Buyer and the Seller. Buyer and Seller both agree to hold EVGlobal.com harmless from any disputes. EVGlobal.com assumes no liability for damages caused to Buyer or Seller due to failure to complete a sale or transaction. Buyer’s sole remedy, to the exclusion of all other remedies, shall be limited to a full refund from the Seller of the purchase price of the item or equipment paid by Buyer at time of sale. EVGlobal.com is not liable with respect to any item or equipment sold nor for any loss or damage to items or equipment during transport. Buyer agrees not to refuse items or equipment that have been damaged during transport. Buyer agrees that any damage to items or equipment incurred during transport will remain solely an issue of dispute between the transport company or companies and the Buyer. EVGlobal.com assumes no responsibility and will be held harmless for any incorrect information on any transport document. Buyer agrees to defend, indemnify, and hold harmless EVGlobal.com from and against any and all suits, claims, costs and expenses resulting from personal injury, death, property damage or loss arising from the ownership or use of any item or equipment purchased on EVGlobal.com Any agreement concerning the sale of any item or equipment made through EVGlobal.com shall be defined by a written invoice, which shall represent the entire agreement between all parties. Any oral representations or modifications will be of no force or effect. Written terms of the invoice agreement supersede and take precedence over any statements made orally or on EVGlobal.com. All sales shall be deemed to have been entered in the State of Florida, and any questions concerning their validity, interpretation, or performance of terms or provisions or of any rights or obligations of the parties hereto, shall be governed by and resolved within and according to the laws of the State of Florida. If any action at law or in equity, including an action for declaratory judgment, is brought to enforce or interpret the provisions of any sale, EVGlobal.com shall be entitled to recover any and all reasonable attorney’s fees from the other party, which fees may be set by the court during trial or appeal of such action or may be enforced in a separate action brought for that purpose, and which said fees will be in addition to any other relief which may be awarded. SELLER TERMS OF SALE LOADING AND SHIPPING All sales are done at Seller’s location. Unless otherwise noted in the item description, Seller is responsible for loading the purchased item or equipment onto the Buyer’s truck or initial mode of transport for purchase. Buyer is responsible for arranging the shipping of purchased item or equipment and for paying for all required transport of item or equipment, including, but not limited to, crating. BIDDER’S RIGHT TO INSPECT Seller agrees to allow Bidder to exercise the Right to Inspect items or equipment before agreeing to purchase. Seller shall allow Bidder a reasonable amount of time, five (5) working days after 20% deposit has been received by EVGlobal.com, to inspect items or equipment in question and to agree to a sale. If Bidder does not inspect equipment within the allotted time, Bidder is deemed to have waived the Right to Inspect. With the exception of the Bidder’s right to refuse an item or equipment upon inspection, all sales are final. Seller and Bidder will not agree to any direct purchase outside the Terms of Agreement set in this document by EVGlobal.com while Bidder is exercising Right to Inspect. Seller and Bidder understand EVGlobal.com has the right to any legal action and compensation resulting from sales made outside this Terms of Agreement. LISTINGS Listings placed on EVGlobal.com shall be active for bidding and sale for 180 days unless otherwise agreed to by Seller and EVGlobal.com in separate written documentation. Seller agrees to immediately notify EVGlobal.com if any item or equipment listed by Seller becomes unavailable for any reason. If Seller discovers any erroneous information in an item or equipment listing listed by Seller, Seller will immediately notify EVGlobal.com by email of the error and provide the correct listing information in said email. Seller affirms ownership, or authorization to sell by the owner, of any items or equipment listed by Seller on EVGlobal.com. Seller affirms there are no liens or encumbrance on the items or equipment listed and that Seller can provide free and clear title to Buyer upon sale. EVGlobal.com reserves the right to edit or remove any listing at any time. SELLER OBLIGATION If Seller sets an Asking Price, Seller agrees to sell item or equipment to any Bidder who supplies a bid for Asking Price. If Seller sets a Reserve Price, Seller agrees to sell item or equipment to the highest bidder at the end of the 180 day active listing period so long as the highest bid meets or exceeds the Reserve Price. Seller agrees not to directly sell any item listed on EVGlobal.com to any party who has contacted seller by means of EVGlobal.com, whether the active listing period has expired or not. Seller understands that any actions made to avoid paying commissions to EVGlobal.com may result in a lawsuit. PAYMENT EVGlobal.com collects payment from Buyer and transfers it, less the agreed upon 10% or minimum commission, to Seller. Seller will not ship items or equipment before receiving payment from EVGlobal.com. Seller agrees not to accept any payment directly from Buyer. Seller is solely responsible for any local, state, or federal taxes due from sale. EVGlobal.com reserves the right to hold payment sent by Buyer until after receipt of Bill of Lading and photographs of items or equipment loaded onto Buyer’s chosen transport. LIABILITY Any disputes arising from transaction or failure to complete transaction shall be exclusively between Buyer and Seller. EVGlobal.com assumes no liability for any damages caused to Buyer or Seller due to failure to complete a transaction. EVGlobal.com makes no guarantee that any Bidder will be willing or able to complete a transaction. PENALTIES “If the seller and buyer reach an agreement outside the framework of EV Global, EV Global is entitled to their full commission (plus a penalty) for a 24 month period commencing from the time of equipment inspection. It will be required to have a sign agreement to that effect before the 20% deposit is returned.
